Legal Counsel (Projects)

Job Objective:

• Legal Counsel will report directly to Senior VP Legal (Projects) and will take a support role for the legal aspects of the organization’s project transactions and new business ventures.

• Support and assist the legal function of the organization’s project transactions. Collaborate with Legal Directors to ensure the provision of cost-efficient and effective legal support and advice to project transaction teams.

• Ensure the effective implementation of legal philosophy through the support of the legal affairs and regulatory governance & compliance issues relating to business area by setting appropriate individual objectives to ensure that the highest level of performance is achieved.

• Provide professional advice and support to all levels of the business on the full range of legal issues to ensure that managers/ stakeholders are aware of the legal implications of their decisions.

• Manage the delivery of legal services to be delivered to the members of the New Business Development Department.

• Ensure the quality, timeliness, and efficiency of the delivery of his/her legal workstream with respect to project transactions.

Education:

• Master's Degree in Business Law.

• Internationally recognized (Western) Legal qualifications such as Postgraduate qualification (Masters, MBA, or PhD) preferred.

• Fully qualified, professional lawyer.

• Multi-Lingual at a legal professional level (Russian/Uzbek/English) is strongly preferred.

Experience:

• Minimum 3-5 years of legal advisory at an international or regional law firm and/or large in-house environment involving companies with extensive infrastructure focus.

• Substantive experience on commercial law matters such as corporate documentation, real estate matters, company formation, tax matters, etc.

• Transactional PPP/concession experience is strongly preferred, with exposure to non-recourse project finance transactions, concession documentation, EPC and O&M contracts, formation of international JVs and SPVs, financing documentation, etc.

Key Responsibilities/Duties:

Planning & Reporting:

• To maintain and provide timely and complete reporting to the Senior VP Legal on the progress of the legal workstreams for his/her project transactions.

• Provide the Senior VP Legal, on a weekly basis, the current updated reports on the status of legal workstreams for his/her project transactions.

•

Legal Support & Management:

• Advise on contractual arrangements, ensuring compliance with regulatory requirements (including global project governance), drafting and reviewing project documentation. Liaise with project sponsors and advise on all legal and regulatory matters pertaining to their proposals and see projects through to completion.

• Accept ownership and coordination of the input from other participants on project transactions, before sending it to the external counsel.

• Closely liaise with external lawyers regarding project transactions.

• Ensure the incorporation of consistent, homogeneous legal provisions across diverse projects.

• Ensure the incorporation of a consistent, homogeneous commercial approach with the external legal advisors across the different geographies and projects.

• Implement best legal practices in governance, risk management and compliance areas to proposed new developments.
